1. Your Obligations
Comply with laws and our terms: You agree to use the Site only for purposes that are permitted by this Agreement and you agree to comply with all applicable laws, this Agreement, and our DOs and DON’Ts For Member Board Users, which are incorporated into this Agreement by reference.
License and warrant your submissions: You hereby grant, by concluding this Agreement, a non-exclusive, irrevocable, perpetual, unlimited, assignable, sublicenseable, royalty-free right to us to copy, prepare derivative works of, improve, distribute, transmit, publish, remove, retain, add, use and commercialize, in any way now known or in the future discovered, anything that you submit to us through the Site or otherwise. By submitting any information to us, you represent and warrant that such submission is accurate to the best of your knowledge, not confidential, and not in violation of any contractual restrictions or other third party rights. You retain copyright and any other rights you already hold in any content that you submit, post or display on the Site.
Personal information: In order to access and use the Site, you may be required to provide information about yourself (such as your name and contact details) as part of the registration process for the Site. You agree to provide us with accurate, correct and up to date information. Note that we describe our current practices related to personally identifiable information collected through the Site in our Privacy Policy for Northern Trust Open Fan Club and Member Board and that we may update our policies and practices from time to time at our sole discretion.
Indemnify us: You agree to indemnify us and hold us harmless from any damages, losses and costs (including, but not limited to, reasonable attorneys’ fees) related to third party claims, charges or investigations, caused by your failure to comply with this Agreement, including, without limitation, your submission or transmission of content that violates third party rights or applicable laws.
Accept responsibility for your password. You are responsible for maintaining the confidentiality of any passwords associated with any account you use to access the Site. If you become aware of any unauthorized use of your password or your account, you agree to notify us immediately.
2. Your Rights
On the condition that you comply with all of your obligations under this Agreement, we grant you a non-exclusive, revocable, non-assignable, non-sublicenseable, royalty-free right to view and post content to the Site through a web browser. We grant you no other rights, implied or otherwise. You agree not to copy, prepare derivative works of, improve, distribute, transmit, use or commercialize any content obtained through the Site. You acknowledge and agree that we own all legal right, title and interest in and to the Site, including any intellectual property rights which subsist in the Site.
Without limiting the generality of the foregoing, we do not allow you to deep-link to our site, extract information through a crawler, spider or other technology that is not commonly used by consumers in the United States, frame information from our Site, post information from our Site or on other websites or commercialize any information or other items from our Site. 8. Jurisdiction
This Agreement will be governed by and be interpreted pursuant to the laws of the State of California, United States of America, notwithstanding any principles of conflicts of law. The state or federal courts located in Los Angeles County, California, shall have exclusive jurisdiction over any cause of action arising out of or related to the content or use of this Site.
9. General Terms
